Terms of Service

1. Agreement & who we are

These Terms of Service ("Terms") govern access to and use of Emura (the "Service"), a web-based manufacturing cost-estimating application. The Service is provided by Emuri, LLC ("Emuri," "we," "us," or "our"). By creating an account, signing in, or otherwise using the Service, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent ("you" or "Customer").

If you do not agree to these Terms, do not use the Service. Our Privacy Policy is incorporated into these Terms by reference.

2. Accounts & eligibility

Emura is intended for business use by manufacturers and related organizations, not for personal or household use, and is intended for people aged 16 or older. It is not directed to, and should not be used by, children under 16. You must provide accurate account information and keep your login credentials confidential; you are responsible for activity that occurs under your account.

Accounts belong to an "Organization," meaning the company or corporate group represented by the account. The Organization is determined by the scope of the people using the Service and the business operations they support—not merely by the company name entered at signup. If the account is used only by and for one legally separate subsidiary, that subsidiary may be the Organization and its standalone annual revenue determines the applicable band. If the account is used by or for a parent company, more than one subsidiary or affiliate, or a centralized or shared-services function serving multiple entities, the Organization is the parent or consolidated corporate group and its consolidated annual revenue determines the applicable band. A division, department, or business unit that is not a separate legal entity is ordinarily part of its legal entity.

An Organization may include multiple sites, folders, and users with different roles (admin, estimator, viewer). Organization admins control who is invited, what role each user holds, and may remove users or manage billing on the Organization's behalf. You are responsible for managing your Organization's membership and access appropriately. You may not divide a shared implementation among nominally separate Organizations primarily to obtain a lower revenue band.

The organization subscription includes unlimited named users. Viewer access is read-only; Admin and Estimator roles have the editing and administration permissions described in the Service. Login credentials should not be shared or used by multiple people, including through a shared or role-based mailbox, because individual accounts preserve access control and attributable revision history. A role-based address may be used as the Organization Contact Email in Organization settings. It is allowed and recommended to invite a permanent (shared/role-based) email address to function as a permanent admin account as a backup in case an individual user's account is terminated. An organization's admins can invite, remove, or change the permissions of users for that organization. Contact Emura support if the last remaining admin account is abandoned or must be terminated.

3. Subscriptions & billing

Emura is offered as an annual organization subscription, billed in advance. The annual fee is determined by the organization's self-reported annual revenue band. The subscription includes unlimited named users and quotes; we do not charge per user or through usage-based overages. The self-serve plan is paid by card or bank account through Stripe, our payment processor, and renews automatically at the end of each annual term unless cancelled beforehand. For annual plans we can also arrange payment by ACH bank transfer or invoice on request. Current plan details and pricing are described on our Pricing page.

You authorize us (via Stripe) to charge your payment method for subscription fees and renewals. You are responsible for keeping your billing information current.

You agree to select the revenue band that reasonably reflects your organization's current annual revenue and to report a change during or before the next annual billing renewal. A band change takes effect at the next annual renewal and does not create a mid-term charge or credit. A move to a higher band receives a 10% discount for the first renewal year in that new band. A move to a lower band receives the lower published price at renewal without an additional transition discount. Early Adopter Pricing terms, including any three-year price lock, apply as shown at signup; a reported move to a higher band does not increase the subscription price during that lock.

If we reasonably suspect that a selected or reported revenue band is erroneous or is being used to avoid the applicable subscription fee, we may review publicly available information and update the Organization's band. We may require payment of any resulting balance due. We will make reasonable efforts to contact an Organization admin and resolve the issue before taking further action. Clear or unresolved abuse may constitute a material breach of these Terms and may result in suspension or termination of affected accounts or the Organization's access to the Service.

4. Cancellation & refunds

You may cancel your subscription at any time from Settings → Billing, which opens the Stripe billing portal. Cancellation stops your next annual renewal; your organization keeps full access through the end of the term you have already paid for.

If Emura is not the right fit, contact us within 30 days of your first payment to cancel for any reason and receive a refund of the first-term fee less a $45 processing fee. After the 30-day window, annual fees already paid are non-refundable except where required by law. This is our current business policy and may be revised from time to time; any change will apply only to future terms.

5. Non-payment & access after lapse

If a payment fails and is not resolved, the following lifecycle applies to the organization's access, on a per-organization basis:

  • Days 0–14 (grace period): full access continues while we attempt to collect payment.
  • Days 15–104 (read-only): the Service becomes read-only; you can view and export individual quotes you are permitted to access, but cannot create or edit quotes.
  • Days 105–180 (inaccessible, retained): the app is inaccessible, but your Customer Data is retained and becomes available again once the subscription is brought current.
  • After day 180:if the subscription has not been renewed, we reserve the right to retain or permanently delete the organization's Customer Data at our discretion. We will make reasonable efforts to notify the organization's admins before deleting any data.

Customer Data is not deleted during the grace, read-only, or initial inaccessible periods described above; deletion becomes possible only after the day-180 point.

6. Your data & ownership

As between you and Emuri, you and your organization own all finished-goods data, bills of materials, cost figures, quotes, and other content you create or upload in the Service ("Customer Data"). You grant Emuri a limited license to host, store, process, and display Customer Data solely to operate, support, secure, and improve the Service on your behalf.

We do not sell Customer Data, and we do not use Customer Data to train machine-learning or AI models. See our Privacy Policy for full detail on how we collect, use, and protect data.

7. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of these Terms;
  • Attempt to bypass, probe, or breach account security, authentication, or access controls, or to access data belonging to another organization;
  • Reverse engineer, decompile, or attempt to extract the source code of the Service;
  • Resell, sublicense, or provide access to the Service to any third party without our consent;
  • Share a named-user account or use a common login instead of individual attributable accounts;
  • Upload or store another party's confidential data in the Service without the rights to do so.

8. Intellectual property

Emuri owns all right, title, and interest in the Emura software, brand, name, and marketing site, excluding Customer Data. Nothing in these Terms transfers any of that ownership to you. You retain all rights to your own Customer Data.

9. Confidentiality

Each party agrees to protect the other party's confidential information with the same degree of care it uses for its own confidential information of a similar nature, and not to disclose it except as needed to perform under these Terms or as required by law. Customer Data is treated as Customer's confidential information.

10. Service availability & support

We work hard to keep Emura fast, reliable, and available, and we work only with subvendors that support those goals. The Service is provided on an "as is" and "as available" basis, and we may add, change, or remove features over time.

If you ever hit a significant service problem, contact us at service@emura.io and we will work to make it right. While your organization has app access, including during the read-only period of a billing lapse, you can export individual quotes you are permitted to view as Emura Quote JSON, CSV reports, or customer PDFs. Account-wide export and restore are not available. In-app exports are unavailable after app access ends; you may contact us about access to your retained Customer Data as described in Section 13.

We do not offer a formal uptime service-level agreement at this time.

11. Disclaimers

Emura is a tool to help you build and organize cost estimates faster and more consistently — it does not replace your own engineering, procurement, or commercial judgment. We do not guarantee the accuracy of any cost estimate, sell price, or other output generated using the Service, and we make no warranty that estimates will match actual costs incurred. You are responsible for reviewing and validating all outputs before relying on them for quoting, purchasing, or any other commercial or business decision.

12. Limitation of liability

To the maximum extent permitted by law, Emuri will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunity, arising out of or relating to your use of the Service. Emuri's total liability arising out of or relating to these Terms or the Service will not exceed the fees you paid to Emuri in the twelve (12) months preceding the claim.

13. Termination

You may end your subscription by cancelling as described in Section 4; your access continues through the end of your current paid term, and then ends. We may suspend or terminate access sooner if you materially breach these Terms, including the Acceptable Use section.

After termination you may request access to your retained Customer Data by emailing service@emura.io. This is a support request, not an in-app account export or restore service. Our handling of your data follows Section 5 and our Privacy Policy.

14. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will make reasonable efforts to notify you (for example, by email or an in-app notice). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules. The state and federal courts located in Minnesota will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
